Reseller Agreement

1. Appointment

• We appoint you as a non-exclusive, independent reseller of the services listed in your reseller portal. Nothing here creates a partnership, franchise, joint venture, agency or employment relationship.
• You may not bind us to any contract, promise or price, or make commitments on our behalf.
• Your appointment starts when we approve your account. You are not a reseller until we approve your application.

2. Eligibility and KYC

• You must be at least 18, legally able to contract in India, and give accurate details: name, business name, PAN, GSTIN (if registered), address and contact details.
• We may ask for documents to verify these details, and we may refuse any application at our discretion.
• Tell us within 15 days if your business details change.

3. Joining fee

• Joining requires a one-time joining fee, shown at sign-up, plus GST. There are no monthly or renewal fees under this Agreement.
• If we do not approve your application, we refund the joining fee in full to your original payment method within 5–7 business days.
• Once your account is approved and activated, the joining fee is non-refundable, including if you stop reselling or your account is later suspended or terminated for breach.
• The joining fee gives access to the reseller portal, wholesale pricing, guides and reseller support for as long as your account is active and this programme runs. If we close the programme within 12 months of your activation, we will refund a pro-rata share of the joining fee.

4. Wholesale prices and your prices

• When logged in, you buy listed services at the wholesale price shown in your portal. Wholesale prices and margins are set per service and may change. The price at the time you pay applies to that order.
• You set your own selling price to your customers. Your margin is the difference between your selling price and the wholesale price you pay us. We do not pay commissions or other amounts.
• Coupons and promotional discounts do not apply on top of wholesale prices unless we say so in writing.
• Government fees, stamp duty and third-party charges are passed through as stated on each service page.

5. Orders and delivery

• You place orders yourself, logged in to your reseller account, and pay online. You are our customer for every order you place.
• Include the details we need to deliver in the order notes or on request, such as your customer's documents and access. You must have your customer's consent to share their data with us.
• We deliver according to each service page and our Shipping & Delivery and SLA policies. Refunds on reseller orders follow our Refund & Returns Policy and are paid to you.

6. Your obligations

• Selling honestly: describe services accurately. Never promise outcomes we don't guarantee, such as guaranteed approval, rankings, certification without audit or registration timelines.
• Brand: you sell under your own business name. You must not call yourself Nishu Digital or Tessovate Technologies Pvt Ltd, use our logos or name in ads, domains or social handles, or imply you are our branch, franchise or employee without written permission.
• Customers: you are responsible for your relationship with your customers, including your contract, invoicing, collecting payment, taxes and customer service.
• Law: follow all applicable laws, including the Information Technology Act 2000, the Digital Personal Data Protection Act 2023, consumer protection laws, GST and anti-spam rules. Follow our Acceptable Use Policy.
• Confidentiality: keep wholesale prices, portal content, guides and your login private. Do not share your account.

7. Taxes

Prices exclude GST unless stated. GST is charged on your purchases from us as applicable. You are responsible for your own taxes on your sales to your customers, including GST and income tax.

8. Customer data

Each party handles personal data in line with the law. For your customers' data, you are responsible for collecting it lawfully and with consent, and we process it only to deliver the services you order. See our Privacy Policy.

9. Fair dealing

We will not knowingly approach your customers, introduced through your orders, to sell them the same services directly at a lower price than your wholesale price. This does not restrict customers who contact us on their own.

10. Suspension and termination

• You may close your account at any time by contacting us.
• We may suspend or terminate your account immediately if you breach this Agreement, misrepresent us, receive repeated customer complaints, commit fraud or chargeback abuse, or if required by law.
• Orders already paid will be completed or refunded under our Refund Policy. Sections 6–8, 11 and 12 survive termination.

11. Liability

Our total liability under this Agreement and any order is limited to the amount you paid for that order. Neither party is liable for indirect or consequential losses, including lost profits or lost business. This does not limit liability that cannot be limited under Indian law.

12. Changes, law and disputes

• We may update this Agreement. We will notify active resellers by email at least 15 days before material changes take effect. Continuing to order after that date means you accept the changes.
• This Agreement is governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at Mangaluru, Karnataka.
